Our client, a leader in immigration services, offers solutions for individuals and businesses in South Africa and beyond. They are seeking a Legal Company Secretary to join their team.

POSITION INFO:
Job Title: Legal Company Secretary
Location: Germiston
Salary: Market related
Vacancy Type: Full-Time

Non- negotiable qualifications and experience required:

Degree in Law (LLB) or Corporate Governance qualification.
5+ years of experience as a Company Secretary in a legal or corporate environment.

Beneficial requirements:

CIS (Chartered Secretary) certification or equivalent is advantageous.
Strong knowledge of company law, corporate governance, and regulatory compliance.
Excellent attention to detail, organizational, and communication skills.
Ability to work with confidential information and high-level stakeholders.
Own vehicle and Drivers license.

Duties and responsibilities:

The successful candidate will be responsible for ensuring corporate governance compliance, maintaining statutory records, and providing legal and regulatory guidance to the board and senior management.

Ensure compliance with corporate governance regulations, the Companies Act, and other relevant legislation.
Maintain and update statutory records, registers, and filings with regulatory bodies.
Prepare and distribute board and committee agendas, minutes, and resolutions.
Advise the board and management on legal and regulatory requirements.
Liaise with external stakeholders, including auditors, legal advisors, and regulatory authorities.
Assist with contract review, legal documentation, and risk management.
Ensure adherence to corporate policies, ethics, and best practices.
