Legal Advisor / Council (Corporate Law)

SUMMARY:
High profile, listed financial services company seeks a Legal Advisor / Council with approximately 3-4 years Corporate law experience. Excellent career opportunity.

POSITION INFO:
The aim of the role is to provide effective and efficient legal advice to various internal stakeholders on legal issues concerning, amongst others governance, compliance, litigation, dispute resolution and contract management.

Candidate must be an admitted Attorney with a completed LLM (preferable) and at least 4 years relevant Corporate legal experience from within the Financial Services sector or leading Law firm. Candidates must have corporate law experience and exposure to Corporate Finance and Private Equity corporate legal work is essential.

Technically strong, with excellent drafting and communication skills, key duties include:

• Drafting and/or reviewing Memorandum Of Incorporation’s (MOI’s), Trust deeds, Shareholders Agreements, Subscription Agreements, Pref Share Agreements, Funding Agreements, Security Documents, Resolutions, condition precedent schedules and other transaction-related documents;
• Implementation and management of transactions and other legal matters and legal advice
• Providing support across various business units and departments and to ensure that where legal risks have been identified, appropriate courses of action have been taken
• Assisting with internal policy development, management and implementation
• Conducting research into a variety of legal issues
