Executive & Company Secretary

Purpose of Role

This role encompasses the responsibilities of an Executive Assistant (reporting to the CEO) and includes managing their schedule and communication, alongside the specialised duties of a Company Secretary, which primarily involves ensuring compliance with corporate governance regulations, managing board meetings and advising on legal and administrative matters related to the company structure.

Main Performance Areas

Executive Assistant:

1. managing the executive's calendar, scheduling meetings and appointments
2. handling incoming calls, emails and correspondence
3. preparing and distributing meeting agendas and minutes
4. making travel arrangements and managing expense reports
5. maintaining confidential records and files

Company Secretary:

1. advising the Board of Directors on corporate governance issues
2. ensuring compliance with relevant company laws and regulations
3. preparing and distributing board meeting materials
4. recording and maintaining accurate board minutes
5. maintaining company statutory records and filings ensure the efficient administration of the organisation, particularly regarding ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the Board of Directors are implemented

Minimum Qualifications & Experience

A 3-year Degree/Diploma or equivalent qualification in Administration and/or Secretarial Competence

Company Secretarial Certificate will be advantageous

HR Diploma

Minimum of 3-years working in an executive secretarial role

Minimum of 2-years working experience in HR functions
