Corporate Governance and Compliance Officer

SUMMARY:
Are you a skilled legal professional with a knack for corporate governance and compliance? We’re looking for a dedicated individual to join our client's team as Corporate Governance and Compliance Officer, where you’ll help ensure adherence to all legal, regulatory, and internal policies.

POSITION INFO:
Your Role and Responsibilities:

• Corporate Governance Support:
  • Deliver comprehensive company secretarial services while supporting the Group Company Secretary in governance and regulatory tasks.
  • Draft and review resolutions and minutes, maintaining an organized resolution register.
  • Assist in preparing board and committee meetings, including gathering required documentation.
  • Handle annual return submissions and oversee CIPC-related matters.
• Compliance Management:
  • Collaborate on designing and implementing compliance systems to align with applicable laws and regulations.
  • Develop, maintain, and update compliance policies across the organization.
  • Review critical business policies from a regulatory perspective and provide actionable recommendations.
  • Monitor regulatory developments and ensure seamless implementation and integration across teams.
  • Draft, review, and align contracts with legal and company requirements.
  • Conduct in-depth research, prepare compliance reports, and stay updated on relevant laws and guidelines.

• LLB Degree and admission as a Legal Practitioner.
• A postgraduate compliance qualification is advantageous.
• Strong knowledge of the Companies Act, King IV, and JSE listings requirements.
• 3-4 years of experience in company secretarial and compliance roles.
