SUMMARY:
Are you a legal professional with a strong background in corporate governance and compliance? Our client is seeking a Corporate Governance & Compliance Officer to oversee legal, regulatory, and internal policy adherence. If you have a keen eye for detail and enjoy working in a structured environment, this role is for you!

POSITION INFO:
ð¹ Corporate Governance Support
â Provide company secretarial services and assist the Group Company Secretary with governance and regulatory duties.
â Draft and review resolutions and minutes, ensuring proper documentation in the resolution register.
â Prepare essential documents for board and committee meetings.
â Manage annual return filings and oversee CIPC-related activities.

ð¹ Compliance Management
â Support the development and execution of compliance frameworks that align with legal and regulatory requirements.
â Create, review, and update compliance policies across the business.
â Assess key business policies from a regulatory perspective and recommend necessary changes.
â Track regulatory changes and ensure smooth adaptation within the organization.
â Draft and review contracts to ensure compliance with company and legal standards.
â Conduct legal research, compile compliance reports, and stay informed on industry regulations.

What We’re Looking For

â LLB Degree and admission as a Legal Practitioner.
â A postgraduate qualification in compliance is an advantage.
â Strong knowledge of the Companies Act, King IV, and JSE listings requirements.
â 3-4 years of experience in company secretarial and compliance functions.
