A leading organisation is seeking an experienced Company Secretary to provide expert secretarial services to the Group and its subsidiaries. This pivotal role will support the Executive: Governance and Secretarial in maintaining the highest standards of corporate governance while ensuring strict adherence to regulatory requirements.

Key Responsibilities:

• Act as the Company Secretary for designated subsidiaries, ensuring compliance with the Companies Act and regulatory requirements
• Liaise with CIPC to ensure timely submission of all governance-related documents and filings
• Monitor changes in corporate governance legislation (including King IV) and ensure the Group’s compliance
• Identify, assess, and mitigate corporate governance risks
• Provide secretarial support to Board and management committees, including scheduling meetings, preparing agendas, and recording minutes
• Maintain updated statutory records, including director and auditor details, share registers, and minute books
• Assist in preparing the Integrated Annual Report (IAR) and coordinating the Annual General Meeting (AGM)
• Ensure compliance with the Protection of Personal Information (POPI) Act and manage secure data handling within the department
• Develop and maintain an efficient system for electronic access and archiving of board packs

Key Requirements:

• Tertiary qualification in Law, Corporate Governance, or a related field
• Minimum of 10 years’ experience as a Company Secretary within a large corporate structure
• Strong knowledge of corporate governance frameworks, including King IV and the Companies Act
• Proven ability to manage board meetings, draft resolutions, and ensure regulatory compliance
• Exceptional communication and stakeholder management skills
• High level of professionalism, initiative, and problem-solving ability
