SUMMARY:
COMPANY SECRETARY

ROLE:
To provide comprehensive support to the board of directors, ensure compliance with statutory requirements, and maintain high standards of corporate governance.
 
RESPONSIBILITIES:
 
Compliance and Statutory Duties:

• Ensure the company complies with the Companies Act, 2008, and other applicable laws.
• Maintain statutory books, including registers of members, directors, and secretaries.
• File statutory returns and ensure timely submission of all required documentation to the Companies and Intellectual Property Commission (CIPC).
• Monitor changes in relevant legislation and regulatory environments, advising the board on necessary actions.
• Proficiency in legal compliance and regulatory filings.

• Organise and prepare agendas for board meetings, committees, and annual general meetings (AGMs).
• Take minutes of meetings and ensure proper documentation of resolutions and decisions.
• Advise the board on corporate governance best practices as per the King IV Report on Corporate Governance for South Africa.
• Facilitate board evaluations and training on governance matters.
• Guide directors on statutory and fiduciary duties, to support compliance with the Companies Act.

• Assist in the implementation of risk management strategies.
• Ensure compliance with the company’s memorandum of incorporation (MOI) and shareholders’ agreements.
• Monitor and report on corporate governance developments and compliance status.

• Serve as a liaison between the board, management, and shareholders.
• Handle correspondence with shareholders and manage queries related to shareholding.
• Communicate with external parties such as auditors, regulators, and legal advisors.

• Maintain and update the company’s records and documentation.
• Safeguard sensitive company information and ensure confidentiality.
• Manage statutory registers, such as those related to share allotments and debentures.

• Develop, implement, and review company policies to ensure compliance with laws and regulations.
• Advise on governance and ethical matters, including conflict-of-interest issues.

• A relevant degree (e.g., Law, Business Administration, Governance or a related field).
• Professional certification (e.g., membership with the Chartered Governance Institute of Southern Africa (CGISA)) is an advantage.
• Proven experience as a Company Secretary or in a similar role.
