POSITION INFO:

A leading organisation is seeking an experienced Assistant Company Secretary to support its Company Secretariat function. This role is ideal for a detail-oriented professional with a deep understanding of corporate governance and compliance frameworks.

Key Responsibilities:

• Ensure compliance with the PFMA, Companies Act, PIC Act, King IV, and other relevant legislation and regulations
• Promote knowledge and provide guidance on corporate governance matters
• Advise and report on compliance issues
• Draft and review Committee Terms of Reference and the Board Charter annually
• Monitor compliance with Delegations of Authority (DoA) and Terms of Reference (TORs) within allocated Committees
• Maintain databases of Directors, subsidiary companies, and signing powers
• Assist with administrative duties within the group secretariat (SPVs and GEPF subsidiaries)
• Manage declarations of interest and conflicts of interest
• Ensure governance processes within the Company Secretariat function are upheld
• Liaise with Committee Chairpersons, Executives, and Non-Executive Directors to maintain effective governance
• Organise and administer Board and Committee meetings, ensuring accurate minutes and resolutions
• Manage Annual Work Plans for allocated Committees and maintain statutory records
• Draft and maintain Committee Resolutions, compiling decisions for Board submission

Key Requirements:

• Bachelor of Laws (LLB) or equivalent qualification / CIS Level 4
• Chartered or Company Secretarial certification would be advantageous
• 5 - 7 years of relevant experience within a Company Secretariat environment
• Strong and proven minute-taking skills (essential)
• In-depth understanding of corporate governance principles
